1. Agreement to these terms
These Terms of Service form a binding agreement between you and AI-INTERF LLC, a limited liability company with its office at 4902 Moccasin Ter, Saint Louis - 63123-5618, United States (US). By visiting this website, submitting the contact form, booking an office hour window or accepting a placement at the incubator desk, you agree to be bound by these terms.
If you are accepting these terms for an organisation, you confirm that you have authority to bind that organisation and that the words you and your include that organisation. If you do not have that authority, or if you do not agree with these terms, please do not use the site or the services.
These terms should be read together with the Privacy Policy, which explains how we handle personal information. Where a separate written agreement has been signed for a placement, that agreement takes precedence over these terms for the matters it covers, and these terms apply to everything that remains.
2. Definitions
For clarity, the following words have the meanings given below throughout this document.
- The Company, we, us and our refer to AI-INTERF LLC.
- The Site refers to the website at startupbusiness.website and every page under it.
- The Desk refers to the incubator service operated by AI-INTERF LLC at its Saint Louis premises, including pitch sheet bays, mentor note runs, demo plan desks, office hour windows, milestone review rounds and cohort sittings.
- Team refers to a person or organisation that books a window or enters a placement with the Desk.
- Deliverables refers to the written material produced at the Desk, including pitch sheets, mentor note runs, demo plans, review decisions and sitting summaries.
- Content refers to text, images, layout, code and other material that appears on the Site or in the Deliverables.
3. Eligibility and account
The Site and the Desk are intended for adults and professional organisations. You must be at least eighteen years old to enter into a placement, and you must be able to form a binding contract under the law that applies to you. We do not knowingly accept placements from anyone below that age.
The Site does not offer user accounts and does not require a password. Any credentials that we issue for a shared workspace during a placement are personal to the person to whom they are issued, and must not be shared beyond the team without our written agreement.
You agree to provide accurate information when you write to the Desk. If details change during a placement, for example a new contact or a new billing address, please tell us promptly so that our records remain correct.
4. Permitted use of the website
You may read the pages of this Site, print a reasonable number of copies for your own reference and share links with colleagues. You may quote short passages with clear attribution to AI-INTERF LLC, provided that the quotation does not misrepresent our position and does not suggest an endorsement that we have not given.
You may use the contact form and the published email address to contact the Desk about the services, to ask a genuine question or to discuss a placement. You may not use them to send unsolicited commercial material, to distribute malware or to conduct automated surveys.
Nothing on this Site grants you a licence to reproduce the design, the layout or the underlying code for a competing website. If you would like to use a substantial part of our material, write to us and ask; we are usually reasonable about genuine requests.
5. Prohibited conduct
You must not use the Site or the Desk in any way that is unlawful, harmful or misleading. In particular, you must not do any of the following.
- Attempt to gain unauthorised access to the Site, its server, its databases or any connected system.
- Probe, scan or test the vulnerability of the Site without our prior written permission.
- Introduce viruses, worms, logic bombs or any other material that is malicious or technologically harmful.
- Use automated tools to scrape content at a rate that interferes with the availability of the Site.
- Impersonate another person or organisation, or misrepresent your affiliation with any person or organisation.
- Submit information that you do not have the right to share, including confidential material belonging to a third party.
- Use the Desk to develop a product that infringes the rights of others or that breaks applicable law.
If we believe that a message or a placement involves prohibited conduct, we may decline to respond, suspend the placement and, where appropriate, report the matter to the relevant authority.
6. Scope of the incubator services
The Desk provides structured incubation support for computer integrated systems design. The six stations of the Desk are pitch sheet bays, mentor note runs, demo plan desks, office hour windows, milestone review rounds and cohort sittings. Each station has the purpose described on the Services page, and together they form a single continuous placement rather than a menu of separate products.
The Desk is a professional advisory and structuring service. We help teams write a claim, plan a demonstration, keep a written record and face an honest review. We do not build the product for the team, we do not provide legal advice and we do not guarantee any commercial outcome.
The Desk does not offer capital. A cohort sitting is not an investment pitch and no mentor at the Desk has authority to promise funding, introduce an investor or guarantee a partnership. Any conversation about capital is a conversation that the team must pursue independently.
7. Placements and written scope
A placement begins only when both sides have agreed on a written scope. The scope records the stations that are included, the expected duration, the people involved, the Deliverables that will be produced and the fee, if any. Verbal conversations at the Desk are helpful but they do not create a placement.
If the team later wants to change the scope, for example by adding a second demo plan or extending a review round, we will record the change in writing before the extra work begins. Work performed outside an agreed scope may be stopped, and any work already performed may be invoiced separately.
We may decline a placement for any lawful reason, including limited capacity at the Desk. We will tell you promptly and, where we can, we will explain what would need to change for the work to fit.
8. Fees and payment
The first office hour window is usually offered without charge to an accepted team. A full placement is subject to a fee that is set out in the written scope. We do not charge a fee for a contact form message and we do not take payment by card on this Site.
Unless the written scope says otherwise, invoices are payable within fifteen days of the invoice date. Where a payment is late, we may pause the placement until the balance is settled, and we may charge interest at the rate allowed by the law of Missouri.
Fees are exclusive of any applicable taxes, which will be added where the law requires. If the team cancels a confirmed office hour window with less than one working day of notice on more than two occasions, we may decline further bookings for the remainder of that season.
9. Your responsibilities
A placement works only if the team does the work between sittings. You agree to attend the windows that you book, to bring the information that the mentor has asked for and to be honest about what has changed since the last round.
- You will nominate one contact who is responsible for scheduling and for written decisions.
- You will ensure that any information you share with the Desk can be shared lawfully and without breaching another organisation rights.
- You will review each Deliverable within a reasonable time and tell us if something is wrong.
- You will keep your own copy of the Deliverables, because the Desk is not an archive service and our retention periods are limited.
- You will not ask a mentor to sign an agreement, make a representation or give a guarantee on behalf of the team.
If a team misses sittings without notice, we will try to reschedule once. After that, the placement may be closed and any work already performed may be invoiced.
10. Deliverables and ownership
The team owns its own business idea, its own product and the information that it brings to the Desk. Nothing in these terms transfers ownership of the team idea to AI-INTERF LLC.
The written Deliverables, meaning pitch sheets, mentor note runs, demo plans and review decisions, are prepared for the team and are provided for its internal use. Subject to payment of any agreed fee, the team may use, copy and adapt the Deliverables for its own purposes without further permission. The Desk retains the right to keep a working copy as allowed by the Privacy Policy and to refer to the shape of its methodology in general terms without disclosing the team specific content.
If a Deliverable includes material that a mentor created independently before the placement, the mentor retains ownership of that background material and grants the team a non exclusive licence to use it as part of the Deliverable. Any such case will be identified in the written scope.
11. Confidentiality
We treat the content of a placement as confidential. The Desk will not disclose team specific information to another team, to an investor or to the public except with the written consent of the team, or where disclosure is required by law. This does not prevent us from describing our general method in teaching material, provided that no team is identifiable.
A team also agrees to keep the Desk confidential information confidential. Desk confidential information includes the internal notes of mentors that are not part of the agreed Deliverables, the identity of other teams in a cohort and any non public information about the Desk operations.
Confidentiality obligations continue for three years after a placement ends. They do not apply to information that is already public, that is independently developed without use of the confidential material or that is lawfully received from a third party without a duty of confidence.
12. Intellectual property on the site
The Site, its design, its text, its code and its illustrations are owned by AI-INTERF LLC or licensed to it, and are protected by copyright and other laws. The name AI-INTERF LLC and any associated marks may not be used in a way that suggests endorsement without our written permission.
You receive a limited, revocable, non transferable licence to access the Site for the purpose of learning about the Desk and contacting us. This licence does not permit copying of the design, framing of the Site within another site or use of the Content to train a competing commercial service without a separate agreement.
If you believe that material on the Site infringes your rights, write to requests@startupbusiness.website with the details and supporting evidence. We will review the claim promptly and, where it is justified, remove or amend the material.
13. Third party materials and links
The Site may link to websites and resources that we do not control. Those links are provided for convenience and do not imply that we endorse the destination or that we accept any responsibility for its content. When you follow a link, the terms and privacy policy of the destination apply.
Some of the tools mentioned in a Deliverable may be provided by third parties under their own licences. The team is responsible for obtaining any licence it needs and for complying with the terms that the provider sets. We do not supply third party software licence keys as part of a placement.
14. Professional and investment disclaimer
The content of this Site is provided for general information about the Desk. It is not legal, tax, accounting, investment or regulatory advice, and it should not be relied upon as a substitute for advice from a qualified professional who knows your particular circumstances.
A mentor note run is an editorial record of a conversation at the Desk. It reflects the mentor view at that moment and may later prove incomplete or wrong. A milestone review decision is an opinion about readiness, not a certification that a system is safe, secure or compliant.
Nothing at the Desk constitutes an offer to sell securities, a solicitation to buy securities or a promise of any financial return. Teams that choose to raise capital do so independently and at their own risk.
15. Privacy and data
Our handling of personal information is described in the Privacy Policy, which forms part of these terms by reference. You should read that policy before sending information to the Desk, because it explains what we collect, why we collect it and how long we keep it.
If a placement requires us to process personal information on behalf of a team, the team remains responsible for having a lawful basis for that processing and for giving any notices that the law requires to the people concerned. We will process that information only on the documented instructions of the team and only for the purpose of the placement.
You agree not to send us personal information about another person unless you have the right to do so and that person has been told about it.
16. Availability and changes to the site
We aim to keep the Site available, but we do not promise that it will be uninterrupted or free from error. The Site may be unavailable during maintenance, during updates to hosting or because of a problem outside our control. We may change, suspend or remove any part of the Site at any time without notice.
We may revise these terms from time to time. When a revision is material, we will update the effective date at the top of the page and, where the change affects an active placement, we will notify the team by email. Continued use of the Site after a revision takes effect means that you accept the revised terms.
17. Disclaimer of warranties
The Site and the Desk are provided on an as is and as available basis. To the fullest extent permitted by law, AI-INTERF LLC disclaims all warranties, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose and non infringement.
We do not warrant that the Site will be secure, that defects will be corrected immediately or that the Content is complete, current or accurate in every respect. We do not warrant that a placement will produce a specific commercial result, funding outcome or partnership.
Some jurisdictions do not allow the exclusion of certain warranties, so part of this section may not apply to you. In that case the exclusion applies to the maximum extent allowed by the law of the jurisdiction concerned.
18. Limitation of liability
To the fullest extent permitted by law, AI-INTERF LLC is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, goodwill, data or opportunity, however it arises and whether or not we were advised of the possibility of such loss.
Our total liability in connection with the Site or a placement is limited to the greater of the fee paid by the team for the placement giving rise to the claim and one hundred United States dollars. This limit applies in the aggregate to all claims arising from the same relationship.
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation.
19. Indemnity
You agree to indemnify AI-INTERF LLC, its members, employees and mentors against any claim, loss, liability or expense, including reasonable legal fees, that arises from your breach of these terms, your misuse of the Site or your infringement of the rights of another person.
This indemnity does not apply to the extent that the claim results from our own negligence, wilful misconduct or breach of these terms. If a claim is made, we will notify you promptly and will allow you to participate in the defence, provided that we retain control of the matter where our own interests are affected.
20. Suspension and termination
We may suspend or terminate your access to the Site or a placement without notice if you breach these terms, if your conduct creates a risk to another person or to the Desk, or if continuing the relationship would require us to act unlawfully.
You may end a placement by giving written notice to requests@startupbusiness.website. Where a placement ends early, the team remains responsible for fees for work already performed and for any Deliverables that have been issued.
On termination, the confidentiality, intellectual property, disclaimer, liability, indemnity and governing law sections of these terms survive, together with any other provision that by its nature is intended to outlive the relationship.
21. Governing law and disputes
These terms are governed by the laws of the State of Missouri in the United States, without regard to its conflict of law rules. The courts located in the county where AI-INTERF LLC has its office will have exclusive jurisdiction over any dispute that cannot be resolved informally, unless the law requires a different forum.
Before starting a formal claim, the parties agree to try to resolve the dispute in good faith. A written notice describing the problem will be sent to the other party, and the parties will meet, in person or by call, within twenty one days of that notice.
Nothing in this section prevents either party from seeking urgent relief from a court where a delay would cause serious harm.
22. General provisions
These terms, together with the Privacy Policy and any written scope for a placement, form the entire agreement between you and AI-INTERF LLC on the matters they cover. They replace any earlier discussion or promise about the same matters.
If a provision is found to be invalid or unenforceable, the remaining provisions continue in full force and the invalid provision is interpreted as closely as possible to the original intent. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.
You may not assign your rights under these terms without our written consent. We may assign our rights to a successor entity that continues the Desk, provided that the successor accepts the same obligations. Notices under these terms must be in writing and sent to the email or postal address in the final section.
23. Contact information
Questions about these terms, notices of a dispute and requests for permission should be sent to AI-INTERF LLC at requests@startupbusiness.website or by telephone at +18588818990.
The postal address is 4902 Moccasin Ter, Saint Louis - 63123-5618, United States (US). The Desk is open Monday to Friday from 9:00 to 17:00 Central Time and is closed on public holidays.
We would rather solve a problem at the bench than in a letter, so please write to us first and give us a chance to put things right.
